VANIGAM - INDIA MEMBERSHIP GUIDELINES
This Member guidelines govern the membership of the Member with Vanigam Global Business Connect Private Limited, India [Vanigam]. The Member guidelines shall be binding on all Members during their membership with Vanigam. These guidelines are subject to amendments or modifications from time to time. Any such change shall take effect from such effective date as notified by Vanigam.
1. MEMBER ELIGIBILITY
1.1 Each Chapter of Vanigamwill comprises of individuals from different profession or classification.
1.2 One individual from a profession or classification shall be eligible for Membership in a chapter of Vanigam and business entities shall not be eligible for Membership.
1.3 An individual who intends to represent a profession or classification shall have it as his/her primary occupation and not as a part-time occupation or business.
1.4 Individual intending to become a Member shall be a business owner with not less than one year experience in the relevant profession or classification.Membership is restricted to business owners only and employees are not eligible for Membership in Vanigam.
1.5 The individual shall have completed the age of 21 years
1.6 An individual should not have been declared as an insolvent, person of unsound mind, convicted for any offense.
1.7 An individual shall attend not less than 1 meeting before acquiring Membership.
2. MEMBER OBLIGATIONS
2.1 A Member shall only be part of a single chapter and shall not apply for membership in the second Chapter at Vanigam. Vanigam at its discretion, may approve the membership of additional person from the member’s organization in any other chapter on case to case basis.
2.2 The member shall strictly adhere to the Code of Conduct for Members as stipulated by Vanigam from time to time.
2.3 A Member shall attend a minimum number of meetings as stipulated by Vanigam from time to time, to retain the Membership.
2.4 The member shall maintain the minimum number of referrals as stipulated by Vanigam from time to time, to retain their Membership.
2.5 Members shall actively participate in the activities conducted through the online platform of Vanigam such as AV meetings, Live trainings, etc.
2.6 The member shall update their business developments through “Posts” in Vanigam mobile app.
2.7 The member shall pay the Membership fees properly and without any delay or demur.
2.8 The member shall not be entitled to seek change their Category or Chapter once assigned to them.
3. CODE OF CONDUCT
3.1 The member shall strictly adhere to and bound by the code of conduct as stipulated by Vanigam from time to time.
3.2 The Member shall be required to uphold Vanigam core values such as transparency, integrity, discipline and compliance with applicable laws.
3.3 The Member shall not engage in discrimination on the grounds of race, religion, language and other grounds and shall respect, every country, religion, culture, values and beliefs without any bias.
3.4 Members shall not discuss politics, religion, cinema, other forum information and other subjects irrelevant to business networking.
3.5 The Member shall not carry on multilevel marketing [MLM], crypto currency trading, chit funds, Ponzi schemes or any other businesses which are prohibited by law.
3.6 The Member shall not send spam, or other forum, information, irrelevant messages, unrelated advertisements, marketing materials in any of the Vanigam platforms.
3.7 The Member shall not invite or solicit other Members to become part of or participate other forums and groups
3.8 The Member shall not give or take loans from other Members.
3.9 The member shall not invest or enter into a partnership or business association with other Members
3.10 The member shall not seek commission, brokerage or any other monetary gain for passing referrals
3.11 The member shall adhere to dress code and not use alcohol, cigarettes or any other items prohibited by law during all meetings.
3.12 The member shall strictly follow the rules and regulations for fair use of social media. The member shall avoid negative and abusive comments about Vanigam and its members in social media.
3.13 The member shall not be entitled to attend other chapter meetings in which he/she is not a member.
3.14 The member shall connect other chapter members through proper channels only.
4. MODEOF MEETINGS
4.1 All Vanigam meetings shall be conducted through any platform as decided by Vanigam from time to time.
4.2 Members shall equally incur all the expenses for such meetings on their own and Vanigam shall not be liable to reimburse any payment made by any Member for such meetings.
4.3 Vanigam shall not be deemed to be an organizer of any unauthorized direct meetings between members and Members shall indemnify Vanigam against any dispute or claim arising out of such meetings.
5. MEETINGS POLICIES
5.1 REGULAR MEETING POLICIES
5.1.1 Meetings will be conducted through any Platform as decided by Vanigam from time to time.
5.1.2 The member shall strictly adhere to code of conduct relating to regular meetings.
5.1.3 Every Member shall attend not less than four direct regular meetings in a year.
5.1.4 Any person can attend the installation meeting. However, only registered Members shall be allowed to attend the regular meetings along with the visitors.
5.1.5 Meeting expenses shall be borne by the Members equally.
5.1.6 Every Member shall provide not less than 3 referrals per month.
5.1.7 Every Member shall attend the meeting on time and shall ensure his attendance throughout the meeting.
5.2 POCKET MEETING POLICIES
5.2.1 Pocket meeting shall be conducted every week in any platform as decided by Vanigam from time to time.
5.2.2 The host shall obtain prior permission from the Leadership Team before conducting such meeting.
5.2.3 Pocket meeting in physical mode shall be conducted in a Member's office only.
5.2.4 Meeting expenses shall be kept at the minimum and borne by the host.
5.2.5 Alcohol, Cigarettes and other prohibited items shall not be served in the meeting.
5.2.6 The member may invite visitors to pocket meetings.
5.2.7 Pocket meeting shall be attended by not more than 15 Members excluding the Leadership Team.
5.2.8 The meeting shall not extend beyond 3 hours.
5.2.9 The member shall strictly adhere to code of conduct relating to pocket meetings.
5.3 A/V MEETING POLICIES
5.3.1 A/V meetings will be conducted twice in a month
5.3.2 All Members can attend A/V meetings.
5.3.3 The member shall attend at least one A/V meeting in a month
5.3.4 The member may invite visitors to A/V meetings.
5.3.5 The meeting shall not extend beyond 3 hours.
5.4 M2M MEETING POLICIES
5.4.1 The member shall do at least 4 M2M meetings with chapter members in a month
5.4.2 The member shall meet with at least 4 Members individually through online or directly. In case of direct meeting, the same shall be conducted at the Member’s office.
5.5 LIVE TRAINING POLICIES
5.5.1 The member shall join as Member in all social media accounts of “Vanigam Global Business Connect” to access live trainings.
5.5.2 Live training will be conducted once in every 15 days or as decided by Vanigam
5.5.3 The member shall attend at least one live training in a month
5.5.4 The member shall strictly adhere to the code of conduct relating to trainings.
5.6 ATTENDANCE IN MEETINGS
5.6.1 Every member shall be required to attend:
a. 1 [One] Regular meetings every Quarter;
b. 2 [Two Pocket] Meetings every month
c. 1 [One] A/V meeting every month
d. 1 [One] Online Training every month
5.6.2 The member shall be present throughout the meetings.
5.6.3 If any Member fails to attend regular meeting in a quarter, then his/her category shall be deemed to be vacated and shall be announced as open for Members.
5.6.4 If the absence of a meeting is due to medical reasons, he/she may not be removed provided he/she provides proof of ailment.
5.6.5 A Member may take up to 8 weeks medical leave with prior approval, provided the fees is pre-paid for that period.
5.6.6 If a Member is unable to attend a meeting, he may appoint a substitute who shall be any person other than VanigamMemberin his place and the presence of such substitute shall be deemed as the Member being present in the meeting.
6. VISITORS
6.1 A Member may invite a bona fide visitor for attending pocket meetings and regular meetings. However, such visitor shall not be permitted to attend any subsequent meetings without becoming a Member. A person may be invited as a visitor for not more than one meeting.
6.2 Visitors shall not seek any business through Vanigam, unless they become Members.
6.3 Visitors shall not solicit or invite chapter members for membership in other forums, events and meetings.
6.4 If any Member opposes the invitation of any visitor, Vanigam will decide on whether such visitors may be permitted to attend the meeting.
7. ESTABLISHMENT OF NEW CHAPTER & CONNECTS
7.1 Vanigam may establish chapters in every city in India or another country with people interested in referral-based business and knowledge sharing platform. It has the right to add more than one chapter in a city or area.
7.2 The member may connect with members of other chapters through the mobile app and with prior approval of the Leadership Team.
8. LEADERSHIP TEAM
8.1 There shall be a Leadership Team, which shall play a key role in all Chapters. The leadership team will update and maintain all meetings and other records of the Chapter.
8.2 Each Chapter shall be governed by a President, Vice president, Secretary, Treasurer and Coordinators.
8.3 All the posts are voluntary and temporary in nature based on performance. All such posts shall not be treated as an employment or engagement of service by Vanigam and hence, not entitled to any remuneration.
8.4 The Leadership Team must undergo training before participating and agree to the Leadership team Agreement
8.5 The Leadership Team shall ensure Members active participation in all Vanigam meetings and events.
8.6 The Leadership Team shall ensure that Members not solicit, advertise or promote other forums, events& meetings.
8.7 The Leadership Team shall have the power to open Member’s classification for any failure to comply with the policies and/or the code of conduct of Vanigam, subject to prior approval of Vanigam.
9. FEES
9.1 The member shall pay an annual membership fee every year as fixed by Vanigam. Membership fees may vary based on the location and country of the Member.
9.2 Any payment made by the Member is subject to applicable taxes in India.
9.3 The member shall bear the bank charges and transaction charges, if any.
9.4 Any fees, charges or payment made to Vanigam is non-refundable. The member shall not be entitled to seek a refund or reduction due to any reasons whatsoever.
10. RENEWAL
10.1 The member shall renew the Membership every year by paying the annual Membership fee prior to 30 days to expiry of the term.
10.2 Renewal is not automatic, but subject to discretion of Vanigam. Decision of Vanigam shall be final and binding on the Member.
10.3 Upon expiration of renewal period, the Membership shall stand terminated and the category shall be open to new Members.
10.4 Annual membership fees may vary from year to year and subject to applicable taxes in India.
11. WITHDRAWAL
11.1 A Member may withdraw from Vanigam any time, subject to clearing all dues and with prior intimation to Vanigam.
11.2 The member shall return all the printed/electronic materials on withdrawal of Membership.
11.3 The member shall be strictly prohibited from using Vanigam related information or materials after withdrawal of Membership.
11.4 A Member shall not be entitled to join the same chapter after withdrawal or termination of Membership.
12. REVOCATION OF MEMBERSHIP
Vanigam shall have the right to terminate a Member and revoke the membership with immediate effect in the following cases:
12.1 If a Member commits any act which is against the interest of Vanigam or its members,such act resulting in a dispute or misconduct.
12.2 If a Member fails to comply with or breaches any of the Code of Conduct, guidelines and policies of Vanigam
12.3 If a Member fails to attend a minimum number of meetings as per clause 5.
12.4 If a Member posts other forum messages, event/meeting invites, personal video conference messages, group invitations, you tube or Facebook page links or involved in other business promotions, passing negative comments/Gossips in any of the Vanigam Platform.
12.5 If a Member creates any other groups for members apart from the groups approved by Vanigam.
12.6 If a Member directly contacts other chapter members without the knowledge of LT or doesn’t give the minimum number of referrals per month, solicits business which is not part of his/her category, doesn’t adhere to the directions of LT or involved in any disputes with LT.
12.7 If a Member is alleged to have engaged in any misconduct or harassment, then Vanigam shall be entitled to immediately terminate the Member in question, apart from recommending initiation of legal proceedings against such Member.
12.8 If a Member is prosecuted for any criminal offense by statutory authorities
12.9 If a Member is declared insolvent by a competent court
13. INTELLECTUAL PROPERTY RIGHTS
13.1 Vanigam owns all right, title and interest including without limitation all copyrights, patent rights, trademark, service mark rights, trade secret rights, other intellectual property rights all over the world in and to all the products and associated electronic & printed materials and Internet-based services provided by Vanigam and such items may only be used by the Member as expressly permitted hereunder.
13.2 The Member shall protect, preserve and maintain Vanigam’s trademarks, trade names, copyrights, patents, designs and all intellectual property of whatsoever nature and shall not allow others to misuse the same.
13.3 It is hereby expressly agreed and declared that nothing herein contained, gives or transfers or is intended to give or transfer to a Member, in part or in full, present or future, any right, title or interest of any nature whatsoever to or in respect of any trademark, trade name, patent, copyrights, any other intellectual property rights, substantive derivatives thereof, etc. used by Vanigam which at all times will remain Vanigam’s exclusive and absolute property.
13.4 The Member shall not at any time;
13.4.1 Remove, alter or otherwise modify, apply for or obtain any copyright, trademark or other materials of proprietary interest owned by Vanigam.
13.4.2 Use or permit to be used the trademarks or any other trademarks belonging to or used by Vanigam by any person, firm, body corporate or authority.
13.5 Vanigam shall be entitled to seek adequate damages, compensation and injunctive relief in case of breach of this clause by a Member.
14. PRESERVATION OF INFORMATION
14.1 The member shall not share Vanigam activities, its members' details or other information through social media or any other platform without prior consent of the local chapter and Vanigam.
14.2 Vanigam Member lists are for the purposes of passing referrals only and not for soliciting (via any means) other businesses or purposes.
15. RIGHTS OF VANIGAM
15.1 Member hereby consents that, Vanigam has the right to record all the meetings, interviews, trainings, testimonials, debates, programs and other events in which Member participates during the term.
15.2 Vanigam shall be entitled to promote such content on various platforms. The member shall not have any claim or right over such content.
15.3 Vanigam shall be entitled to circulate the business and contact details of Members for increasing business opportunities of the Members. Such action shall not be treated as a breach of privacy of confidential information.
16. LIMITATION OF LIABILITY
16.1 Vanigam is an online platform for business referrals, knowledge sharing purpose only. Vanigam doesn’t guarantee any minimum business opportunity or profits for its Members.
16.2 The member shall not be entitled to seek any royalty, commission, share in revenue or profits of Vanigam due to any reason whatsoever.
16.3 Vanigam shall not be liable for any business, financial transactions and other disputes arising between the Members.
16.4 In no event will Vanigam be liable for any direct, indirect, actual, punitive, special, incidental or consequential damages in connection with or arising out of any business, financial transactions or any other disputes whatsoever between the Members (including loss of business, revenue, profits, use, data or other economic advantage), however caused and regardless of any theory of liability, even if Vanigam has been previously advised of the possibility of such damages.
16.5 Similarly, no Member shall be liable for the referral of any business to a Member of Vanigam. Each Member shall exercise caution, due diligence and conduct the business transaction based on the referral at their own risk.
17. INDEMNITY
17.1 Member hereby agrees to indemnify and undertakes to fully compensate Vanigam and hold Vanigam harmless at all times from any loss, claim, prejudice, damage, costs, taxes, duties, penalties, interest thereon or expenses of any kind, including reasonable attorney’s fees and legal costs to which Vanigam may be subjected as a result of the Member’s acts or omissions.
17.2 Vanigam shall not be liable to indemnify the Member in any circumstance whatsoever. Vanigam shall not be made a party to any dispute or transactions carried out by a Member.
17.3 Member hereby expressly waives any right to make any claim against Vanigam for any dispute in any nature whatsoever.
17.4 Members hereby expressly waives his/her right to make any claim against other Members for any risk, loss, expense incurred in carrying out business transactions based on other Members’ referrals.
18. GENERAL PROVISIONS:
18.1 STATUS OF PARTIES
18.1.1 The relationship between Vanigam and Member is on “Principal to Principal” basis. No Member or leadership team shall be deemed to be an employee, agent, or representative of Vanigam.
18.1.2 Nothing in this Agreement shall be deemed to create a joint venture, partnership or agency between the parties.
18.1.3 No Member will have the right, power, or authority to act or to create any obligation on behalf of the other Members or Vanigam.
18.1.4 Vanigam shall not be held liable for any acts or omissions of a Member.
18.2 LEGAL & STATUTORY COMPLIANCES
18.2.1 The member shall be solely responsible for and undertake to strictly comply with all the laws, regulations and requirements of the Government having jurisdiction in any manner whatsoever in connection with his/her business or occupation.
18.2.2 The member shall follow all Vanigam related activities, referrals and business dealings such as programs, online meetings, gatherings, etc., subject to the applicable law.
18.3 INVALIDITY
In the event any one or more of the provisions of the Member Agreement, guidelines, policy shall for any reason, be held to be invalid, illegal or unenforceable, then the remaining provisions shall be unaffected, and the invalid, illegal or unenforceable provision(s) shall be replaced by an acceptable provision(s), which being valid, legal and enforceable, comes closest to the intention of the parties underlying the invalid, illegal or unenforceable provision(s).
18.4 NON-WAIVER
No omission or delay on the part of any Vanigam in requiring a due and punctual fulfilment by Member of his/her obligations hereunder shall be deemed to constitute a waiver of any of Vanigam’s rights to require such due and punctual fulfilment and in any event shall not constitute or be construed as a continuing waiver and/or as a waiver of other or subsequent breaches of the same or other (similar or otherwise) obligations of Member or as a waiver of any remedy.
18.5 MODIFICATION OR AMENDMENT
18.5.1 Vanigam policies may vary from place to place and subject to amendment from time to time.
18.5.2 Vanigam not required to obtain consent or intimate Members prior to making such amendments or modifications.
18.5.3 Any amendment in policies, guidelines and code of conduct will be communicated to Members and binding on them from such effective date.
18.6 ENTIRETY OF AGREEMENT
Membership Agreement together with all policies, guidelines, code of conduct and other terms & conditions as amended and incorporated from time to time constitute the entire agreement between the parties and supersedes all previous agreements, promises, representations, understandings and negotiations, whether written or oral, between the parties with respect to the subject matter hereof.Member hereby agrees to be bound by all such rules, guidelines, regulations, code of conduct as implement from time to time.
18.7 ACCEPTANCE OF GUIDELINES
Member’s acceptance and continuation of Membership is an authentic confirmation that, the Member has read, understood and agree to all such conditions. Vanigam shall not be required to obtain separate consent or agreement with the Members.
18.8 GOVERNING LAW AND JURISDICTION
18.8.1 This agreement shall be construed in accordance with the laws in force in India.
18.8.2 Any or all disputes arising out of this agreement shall be subjected to the exclusive jurisdiction of the Courts situated at Chennai, Tamilnadu, India.
18.8.3 No other courts or forum except the courts situated in Chennai shall have jurisdiction to entertain or adjudicate any disputes.
